Terms and Conditions - Vero Concepts
Effective Date: 08/30/2025
1. Services
Vero Concepts provides digital marketing services including but not limited to social media management, content creation, advertising campaigns, SEO, and analytics reporting. Specific services will be outlined in individual service agreements.
2. Payment Terms
- Invoices are due upon receipt
- Late payments may incur a 1% monthly service charge
- Services may be suspended for accounts more than 60 days overdue
- All fees are non-refundable unless otherwise specified
3. Client Responsibilities
- Provide timely access to necessary accounts, materials, and information
- Review and approve deliverables within agreed timeframes
- Maintain compliance with platform terms of service
- Provide accurate business information and legal authorization
4. Intellectual Property
- Client retains ownership of their brand materials and content
- Vero Concepts retains rights to methodologies, processes, and general knowledge
- Any custom creative work becomes client property upon full payment
- Third-party assets remain property of respective owners
5. Confidentiality
Both parties agree to maintain confidentiality of proprietary information shared during the business relationship.
6. Limitation of Liability
Vero Concepts' liability is limited to the amount paid for services in the preceding 12 months. We are not liable for indirect, consequential, or punitive damages.
7. Termination
Either party may terminate services with 30 days written notice. Client remains responsible for payment of services rendered prior to termination.
8. Platform Changes
Digital platforms frequently update policies and algorithms. Vero Concepts will adapt strategies accordingly but cannot guarantee specific results due to these external changes.
9. Governing Law
These terms are governed by Massachusetts law. Any disputes will be resolved through binding arbitration.
10. Modifications
Terms may be updated with 30 days notice. Continued use of services constitutes acceptance of revised terms.
